ToolProof Terms of Service

These Terms of Service ("Terms") govern your purchase of, and access to support for, the ToolProof software ("Software"). They form a binding contract between you ("you," "Customer") and ToolProof LLC ("ToolProof," "we," "us"), a Indiana limited liability company. Use of the Software itself is governed by the separate ToolProof End User License Agreement (EULA), which is incorporated by reference. By purchasing a license, you agree to both these Terms and the EULA.


1. Who We Are

ToolProof is a desktop application for verification of CNC G-code programs and tool libraries, developed and sold by ToolProof LLC, a single-member limited liability company organized under the laws of the State of Indiana. Our website is toolproof.dev and our support contact is support@toolproof.dev.

2. Eligibility

You must be at least 18 years old, located in the United States, and able to enter into a legally binding contract to purchase a ToolProof license. We currently sell only to U.S.-based customers. We may, in our sole discretion, decline or cancel any order.

3. Purchase Terms

(a) Pricing. Current prices are listed at toolproof.dev. All prices are in U.S. dollars unless otherwise stated.

(b) One-Time License. Unless otherwise specified at the point of sale, a ToolProof purchase is a one-time license fee that grants you the right to use the Software on one (1) machine in accordance with the EULA, with no recurring subscription. Future major versions may be offered as separate purchases.

(c) Payment Processing. Payments are processed by Stripe, Inc. ("Stripe"). By submitting payment information, you authorize Stripe to charge your payment method for the amount displayed at checkout, plus any applicable taxes. Your payment information is handled by Stripe in accordance with Stripe's terms and privacy policy; ToolProof does not store full card numbers.

(d) Taxes. Listed prices do not include sales tax, use tax, or any other taxes that may apply. Where ToolProof is required by law to collect such taxes, they will be calculated and added at checkout. You are responsible for any taxes not collected by ToolProof that arise from your purchase.

(e) Order Confirmation. Your order is accepted when we send the license key to your email address. We may decline or cancel any order, in which case any charge will be refunded.

4. License Delivery

After successful payment, your license key and download instructions are sent to the email address you provided at checkout. Delivery is typically completed within minutes of payment confirmation. If you do not receive your license within one (1) hour, please:

  1. Check your spam, junk, or promotions folder.
  2. Verify the email address on your Stripe receipt.
  3. If still missing, contact support@toolproof.dev with your Stripe receipt or order ID, and we will resend the license.

5. Refund Policy

(a) 30-Day Refund. You may request a full refund within thirty (30) days of your original purchase date for any reason. To request a refund, email support@toolproof.dev from the email address associated with the purchase, including your order ID or Stripe receipt.

(b) No Refunds After 30 Days. Refunds are not available more than thirty (30) days after the original purchase date, except where required by applicable law.

(c) Effect of Refund. When a refund is issued, your license is returned to ToolProof and is deactivated. The Software will cease to be licensed for your use, and you must uninstall it and delete any local copies. Continued use after a refund is a breach of the EULA.

(d) Refund Method. Refunds are issued to the original payment method via Stripe and typically appear within 5–10 business days, depending on your card issuer.

(e) Mandatory Consumer Rights. Nothing in this Section limits any non-waivable consumer rights you may have under applicable law.

6. Support

(a) Channel. Support is available by email at support@toolproof.dev.

(b) Response Time. We aim to respond to support requests within forty-eight (48) business hours, Monday through Friday, excluding U.S. federal holidays. Response time is best-effort and not a guaranteed service-level commitment.

(c) Prioritized Issues. Critical issues — including license activation failures, license-key delivery failures, and inability to launch the Software due to a licensing problem — are prioritized over feature questions and general inquiries.

(d) Scope. Support covers installation, activation, license issues, bug reports, and reasonable usage questions about the Software. Support does not include: training on G-code, CAM, or CNC machining; review or validation of customer CNC programs or tool libraries; on-site or remote-desktop assistance; integration consulting; or custom development.

7. License Transfer and Machine Replacement

(a) Single-Machine Binding. Each ToolProof license is bound to a single computer (the "Licensed Machine") via a hardware-derived identifier.

(b) Machine Replacement (One Per Year). If you replace, retire, or rebuild your Licensed Machine, you may request a one-time machine transfer up to once per twelve (12) month period at no charge. To request a transfer, email support@toolproof.dev with:

(c) Additional Transfers. Additional transfers within a 12-month period may be granted at our discretion and may be subject to a reasonable processing fee.

(d) Transfer to Another Person. Licenses are non-transferable to another person or entity, except in connection with a sale or transfer of substantially all of your assets, and only with our prior written consent.

8. Pricing Changes

We may change pricing at any time. Pricing changes affect new purchases only and do not retroactively apply to licenses already purchased. We will provide at least thirty (30) days' notice of material pricing changes by posting them on toolproof.dev.

9. Relationship to the EULA

Your installation and use of the Software is governed by the ToolProof EULA, which contains material terms regarding warranty disclaimers, limitations on liability, indemnification, and the safety-critical limitations of the Software. By purchasing a license, you acknowledge that you have read and agree to the EULA. In the event of a conflict between these Terms and the EULA, the EULA controls with respect to use of the Software, and these Terms control with respect to the commercial relationship.

10. Updates to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to registered customers at the email address on file at least thirty (30) days before they take effect, or as soon as reasonably practicable for changes required by law. Your continued use of the Software or services after the effective date of an update constitutes acceptance.

11. Acceptable Use

You agree not to:

(a) use the Software in violation of any applicable law or regulation;

(b) attempt to circumvent, disable, or interfere with licensing, activation, or authentication features of the Software;

(c) misrepresent your identity or eligibility when purchasing a license;

(d) chargeback or dispute a charge that you previously authorized, except for valid disputes — abuse of chargeback procedures may result in license termination without refund and may be reported to Stripe; or

(e) use the Software to harm, harass, defame, or infringe the rights of any third party.

12. Termination

(a) By You. You may discontinue use at any time. See Section 5 for refund eligibility.

(b) By ToolProof. We may suspend or terminate your access to the Software, support, or services if you breach these Terms or the EULA, fail to pay any amount when due, or engage in fraudulent or abusive conduct.

(c) Survival. Sections 5 (post-refund obligations), 9 (Relationship to EULA), 13 (Disclaimers and Limitation of Liability), 14 (Governing Law), and any other provisions that by their nature should survive termination shall survive.

13. Disclaimers and Limitation of Liability

The Software is provided as described in the EULA. The warranty disclaimers, limitations of liability, and damages exclusions in the EULA — including without limitation the disclaimer of fitness for safety-critical use and the cap on aggregate liability at the amount paid for the license in the preceding twelve (12) months — apply with equal force to these Terms and to all services described herein, including support and license-key delivery.

14. Governing Law

These Terms are governed by the laws of the State of Indiana, without regard to conflict-of-laws principles. The exclusive jurisdiction and venue for any dispute is the state or federal courts located in Indiana, and the parties consent to personal jurisdiction in such courts.

15. Miscellaneous

(a) Entire Agreement. These Terms, together with the EULA and Privacy Policy, constitute the entire agreement between you and ToolProof concerning your purchase and use of the Software.

(b) Severability. If any provision of these Terms is unenforceable, the remaining provisions remain in full force and effect.

(c) Assignment. ToolProof may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.

(d) No Waiver. Failure to enforce any provision shall not be a waiver of that provision.

(e) Notices. Notices to ToolProof should be sent to support@toolproof.dev. Notices to you may be sent to the email address on file.
